1. Service Description
Watchdog is an AI-powered automation platform that integrates with the Gingr pet care management system. The Service includes:
- Vaccine Automation: Automated extraction and processing of vaccination records from documents in your Gingr account
- Daily Briefs: AI-generated operational intelligence reports derived from your Gingr data
- Custom Agents: Configurable AI workflows that perform actions such as sending communications and creating alerts
The specific features available to you depend on your subscription plan. The Service requires an active Gingr account and valid API credentials.
2. Account Terms
To use the Service, you must:
- Be at least 18 years old and have the legal authority to bind the entity you represent
- Provide accurate and complete registration information
- Maintain the security of your account credentials (including Gingr API credentials)
- Promptly notify us of any unauthorized access to your account
- Have a valid, active Gingr account with appropriate API access permissions
You are responsible for all activity that occurs under your account. We are not liable for any loss or damage from your failure to maintain account security.
3. Your Data
You retain all rights to data that you provide to the Service or that the Service accesses through your Gingr account ("Your Data"). By using the Service, you grant us a limited license to access, process, store, and transmit Your Data solely for the purpose of providing and improving the Service.
We process Your Data in accordance with our Privacy Policy. You represent that you have the necessary rights and permissions to allow us to access and process Your Data, including any personal information of pet owners or other individuals.
4. Gingr Integration
The Service connects to Gingr through their API using credentials you provide. You acknowledge that:
- We are not affiliated with, endorsed by, or partnered with Gingr unless otherwise stated
- Changes to the Gingr API or your Gingr account may affect Service functionality
- You are responsible for ensuring your use of the Service complies with Gingr's terms of service
- We are not responsible for any actions taken by Gingr regarding your account
5. AI Processing and Accuracy
The Service uses artificial intelligence to process documents and generate content. You acknowledge that:
- AI-generated outputs (extractions, briefs, agent actions) may contain errors or inaccuracies
- You are responsible for reviewing AI-generated outputs before relying on them for critical decisions
- Confidence scores are estimates, not guarantees of accuracy
- The Service is a tool to assist your operations, not a replacement for professional judgment
We continuously work to improve accuracy but do not guarantee error-free results.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to process data unrelated to your Gingr-based pet care operations
- Resell, sublicense, or redistribute access to the Service without our written consent
- Use automated agents in a manner that could harm, harass, or deceive pet owners or other individuals
7. Payment and Billing
Subscription fees are billed monthly in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change pricing with 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.
8. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by Watchdog and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
We do not claim ownership of Your Data. Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
9. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
- We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or complete
- Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Watchdog and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
Either party may terminate the subscription at any time. Upon termination:
- Your access to the Service will cease at the end of your current billing period (or immediately if terminated for cause)
- We will delete Your Data within 30 days, unless retention is required by law
- You may request an export of Your Data prior to termination
We may suspend or terminate your access immediately if you violate these Terms, if your Gingr account becomes inaccessible, or if continued provision of the Service becomes impracticable.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Watchdog regarding the Service
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force
- Waiver: Our failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
